To provide professional and high quality support of the Board to help support Comic Relief’s governance framework and ensure the Board is efficient and effective in carrying out its duties to the Charity. 

Key Responsibilites:

Provide best in class Board support and management, including:

  • Plan calendar for Board meetings, aligning with other Comic Relief Committees, including all physical and logistical arrangements

  • Prepare draft agendas based on annual requirements, previous minutes and organisational priorities

  • Dispatch agendas & papers in good time

  • Minute Board meetings and prepare accurate and succinct formal minutes

  • Ensure action points or decisions are communicated or followed up

Ongoing engagement with Board:

  • Maintain skills audit of Trustees to support succession planning

  • Induct new Trustees and manage appraisals

  • Engage Trustees through away days, newsletters and other activities

  • Track and enforce attendance and ensure all mandatory training is completed

  • Oversee Trustee engagement activities with the wider staff body

Support the Company Secretary and Executive Leadership Team in ensuring the Board is up to date and comfortable with the Governance and Assurance Framework and Code of Good Governance

Work closely with administrators of Comic Relief Committees and Advisory Groups that report into the Board, ensuring alignment on strategic issues and governance requirements.

Regularly review and update Board and Committee Terms of Reference and ensure responsibilities and duties contained within them are being carried out

Together with Assurance team, maintain a central database of all Comic Relief regulatory requirements:

Carry out regulatory filings and records (Companies House, Charity Commission etc.)

Education, skills and experience:

  • Experience of managing a large Board of Trustees.

  • Ability to carry out multiple tasks and work to tight deadlines in an organised manner.

  • Experience of senior stakeholder management and engagement.

  • Solid IT literacy in MS Office.

  • Experience of presenting complex issues and reports to meetings at Board level.

  • Effective relationship builder with strong emotional intelligence and political awareness to proactively work with and assimilate views of senior stakeholders and partners.

  • Decisive problem solver with high resilience and a positive and solution orientated approach.

  • Exceptional attention to detail and high standards of document presentation.

  • Succinct, professional and considered communication style, both written and verbally, with a good understanding of the efficacy required for this role.
