Your new companyHays Legal are partnering with a leading technology company in Belfast in their search for a capable Commercial Lawyer to join their team on a part time (3 days a week) permanent basis, working from home.Your new roleIn your new role you will be responsible for drafting, negotiating, interpreting, executing, and administering all corporate and commercial legal documentation with a focus on technology contracts, intellectual property and data protection.To provide company secretarial duties.To be responsible for data protection compliance within the company.MAIN DUTIES INCLUDE (but not limited to):Review, draft and negotiate licensing and service agreements, partner agreements, framework agreements, supplier agreements and non-disclosure agreements with both private and public clientsDrive contract lifecycle from drafting through completion of the negotiation process, and/or contract execution. Manage contract change control processDraft, manage, distribute, respond to, analyse and review tenders, RFPs or customer terms & conditions as necessaryDevelop and maintain a deep understanding of legal risk and liability, and company position on contractual mattersPrepare contracts for internal review and approval including a summary of risks vs benefit and ensure compliance with company policies as well as applicable laws and/or regulationsInterpret contract and advise sales /services/ managers on contractual responsibilitiesTranslate complex commercial/legal scenarios into simple language and action plansAssess legal implications, bringing to Senior Management's attention as necessaryEnsure timely delivery of contract documentationLiaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been takenProvide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff as appropriateLiaise with external legal advisers as necessaryProvide company secretarial duties including preparing board agendas, minutes and resolutionsAdvise Board and management as to the implications of the company's shareholders' agreement, articles, loan agreements and corporate approvalsTake responsibility for data protection compliance within the company, including annual information asset register reviews, responsibility for implementing the data breach response plan and annual company trainingAssisting the business security function in complying with ISO27001, ISO9001 and PCI standards, including drafting policies and proceduresAny other reasonable duties as required by ManagementWhat you'll need to succeed:You will have strong commercial contract drafting skills, be organised and able to work to tight deadlinesDue to the cross departmental nature of the work, you must be a team player with good relationship building skillsMust be confident to constructively challenge in order to avoid unnecessary business riskCommercially focused lawyer, preferably with experience in technology, cloud and data protection matters.EXPERIENCE & QUALIFICATIONSYou will be a qualified solicitor with 4+ years PQE or considerable experience in commercial contract draftingIn house experience desirablePrior experience of dealing with technology/ licensing and intellectual property preferredExperience of dealing with senior management and company secretarial matters preferredRight to work independently in the UKWhat you'll get in returnA very competitive market salary, package of benefits and flexible working options are all available for you in this role.What you need to do nowIf you're interested in this role, click 'apply now' to forward an up-to-date copy of your CV, or call us now.If this job isn't quite right for you but you are looking for a new position, please contact us for a confidential discussion on your career.Hays Specialist Recruitment Limited acts as an employment agency for permanent recruitment and employment business for the supply of temporary workers.
